Management bodies

 STRUCTURE, FORMATION PROCEDURE AND COMPETENCE OF MANAGEMENT BODIES
-The supreme governing body of the Academy is the General Meeting of Founders and is convened at least once a year on the initiative of any of its members.
-General meeting of founders is eligible if all the founding members of the Academy are present at it
-The meeting of the General meeting of founders is attended by the first heads of the founding organizations, or their proxies, if there is a power of attorney.
-Other legal entities and individuals may participate in the meeting of the General meeting of founders without the right to vote, in agreement with all members of the Council.
      The exclusive competence of the General meeting of founders of the Academy includes:
-adoption, introduction of amendments and additions to the constituent documents of a non-profit organization;
-voluntary reorganization and liquidation of a non-profit organization;
-determining the competence, organizational structure, procedure for the formation and termination of the powers of the management bodies of a non-profit organization;
-determining the procedure and frequency of submission of financial statements of executive bodies, as well as the procedure for conducting an audit by the control body and approving their results;
-adoption, within the limits established by legislative acts, of a decision on the participation of a non-profit organization in the creation or activities of other legal entities, its branches and representative offices;
-admission of new founders to the EAMS;
-approval of the Charter and amendments to it;
-making a decision on the liquidation and reorganization of the EAMS;
-approval of the EAMS development strategy;
-making strategic decisions on the directions of the Academy's development;
-adoption of other decisions that do not contradict this Charter;
-creation and maintenance of the office of the vice-president in the country of the Founder's location;
-determination of the members of the Supreme Academic Council.
      All decisions of the General meeting of founders are made if 2/3 of those present voted for them
The collegial body of the Academy is the Supreme Academic Council (SAC), which is formed from the number of candidates proposed by the founders in the amount of 5 people, 1 person from each Founder.

5.2.1. The exclusive competence of the SAC of the Academy includes:

-approval of the composition of the Presidium of the EAMS for a five-year term;
-definition of the President of the Academy;
-definition of vice-presidents;
-determination of the composition of the audit commission;
-approval of the Academy's budget;
-approval of the Academy structure;
-making other decisions that do not contradict this Charter.

5.2.2. The decisions of the SAC are made by 2/3 of the votes.
   The supervisory body of the Academy is the Presidium of the Academy.
The Presidium of the Academy consists of 26 people consisting of:
- The President, 5-vice-presidents (one from each Founder) and 20 members of the Presidium (4 from each founder of the Academy).

5.3.1. The exclusive competence of the Presidium of the Academy includes:
5.3.1.1. admission and exclusion from the Academy members;
5.3.1.2. approval of the Academy's programs and work plans;
5.3.1.3. approval of the statutory documents of the structural divisions of the Academy;
5.3.1.4. approval of awards, scholarships, honorary titles, honorary badges and awards of the Academy;
5.3.1.5. creation of research and design institutes, scientific and engineering centers, research and production associations, foundations, branches, branches of the Academy, mining congresses and other organizational structures;
5.3.1.6. approval of the Regulations and making changes to them;
5.3.1.7. making other decisions that do not contradict this Charter.
5.3.2. Meetings of the Academy's Presidium are held as necessary, but at least twice a year.
5.3.3. The Presidium of the Academy is entitled to make decisions when more than half of its members are present at its meeting.
Decisions are made by a simple majority of votes.
The executive body of the Academy is the President.
5.4.1. The exclusive competence of the President of the Academy includes:
5.4.1.1. performing the statutory functions of the Academy;
-chairing meetings of the Academy's Presidium;
-signing of decisions of the Academy's Presidium;
-appointment of the Scientific Council of the Academy;
-without a power of attorney, the disposal of funds, finances, property of the Academy, the conclusion of contracts, contracts, labor agreements, both -with legal entities and individuals in accordance with the current legislation of the country of legal registration of the Academy and this Charter;
formation of the Academy's staff, determination of its structure, staffing, funding, approval of job descriptions of Academy employees, solving issues of their appointment and dismissal;
making decisions on the establishment of representative offices and business organizations;
appointment and dismissal of heads of representative offices and business organizations;
creation of working commissions, committees, sections, councils and other public entities within the Academy, approval of Regulations on them and appointment of managers;
representation of the Academy in relations with state and non-state bodies, organizations, and other legal entities;
he is accountable to the General meeting of founders , the SAC, the Presidium of the Academy;
organizes the convocation and holding of meetings of the General meeting of founders, the SAC and the Presidium of the Academy. Meetings of the OSU, the SAC and the Presidium of the Academy are allowed to be held remotely on-line;
exercises other powers in accordance with this Charter.

5.5. Vice-Presidents of the Academy:
-The Vice-presidents of the Academy are the representatives of the Founder who coordinate the work of the Academy in the country of the Founder's location;
-The norm of representation is one vice-president from each Founder.
-They manage the activities of the Academy within the framework and scope determined by the President of the Academy;
-During the absence of the President of the Academy, the Vice-President of the country of legal registration of the Academy, according to the order of the President, performs his duties in full.

5.6. Scientific Council of the Academy:
-Acts on the basis of the Regulations approved by the Presidium of the Academy;
-Appointed by the Order of the President of the Academy from Scientists in the countries where the Founders are located;
-Defines and coordinates the main directions of scientific activity of the Academy;
-Carries out the review of programs and plans of scientific works;
-Conducts scientific competitions and nominates members of the Academy for scientific works, discoveries, inventions and outstanding contribution to the development of mining sciences and industry for awarding various prizes, honorary titles and other distinctions;
-The work of the Scientific Council of the Academy is coordinated by the Chief Scientific Secretary appointed by the President of the Academy;
-The activities of the Chief Scientific Secretary are regulated by the Regulations approved by the Presidium of the Academy.
    The Audit Commission is a Control body.
-The numerical composition of the Audit Commission is equal to the number of Founders of the Academy.
-The Audit Commission elects a Chairman, a Deputy Chairman and a secretary from among its members.
-The duties include monitoring the financial and economic activities of the Academy.
-At least once a year, it conducts an audit of the financial and economic activities of the Academy.
-The results of the audits are submitted to the General meeting of founders, the SAC and the Presidium of the Academy.
-The members of the Audit Commission are appointed on the recommendation of the members of the SAC of the Academy on the principle of one country – one representative.
-Members of the Audit Commission may not be members of the Academy's Presidium at the same time.
Observers
Legal entities that recognize the Charter of the EAMS and participate in the work of the EAMS can be introduced into the governing and executive bodies without the right to vote as observers.
